The terms that govern your use of the Platform.

01Acceptance of Terms

By creating an account, accessing, or using the Vexisx platform, website, or app at app.vexisx.in (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the Platform.

You represent that you are a licensed legal professional (advocate, law firm staff acting under supervision of an advocate, or authorised legal support personnel) at least 18 years of age, with authority to enter into this agreement on your own behalf or on behalf of your firm.

02What Vexisx Is — and Is Not

Vexisx provides AI-assisted tools for:

• Drafting legal documents (petitions, notices, applications, contracts, and similar)
• Summarising case law, evidence, and documents
• Legal strategy consultation and argument testing
• Contradiction detection across statements and transcripts
• Case timeline generation

03Your Professional Responsibility

You acknowledge and agree that:

1. You remain the responsible advocate of record for any document drafted with Vexisx's assistance. AI-assisted drafting does not delegate or reduce your professional obligations under the Bar Council of India's Standards of Professional Conduct.
2. You must verify every citation, statutory reference, and factual claim in AI-generated output before relying on it. Indian courts have held that citing fabricated AI-generated case law constitutes professional misconduct with legal consequences (see Gummadi Usha Rani v. Sure Mallikarjuna Rao, 2026 SCC OnLine SC 341). Vexisx's drafting tools are built to reduce this risk — for example, by flagging judgments cited in a draft that its research did not retrieve — but the final verification duty is non-delegable and remains yours.
3. You are responsible for obtaining appropriate client consent to use AI tools in the handling of their matter, consistent with your confidentiality obligations.
4. Vexisx does not guarantee that any drafted document will be accepted by a particular court registry, be free of defects under that court's practice directions, or achieve any particular legal outcome.

04How Your Material Is Processed — Incorporated by Reference

How the Platform processes your data is described fully in the Privacy Policy. Key points restated here for clarity:

• The text of the documents and messages you choose to process is sent to our servers and to cloud AI infrastructure as written, including any personal data it contains, encrypted in transit and under Zero Data Retention: OpenRouter and the model provider do not keep what is sent after the response is produced, and none of it is used to train any model.
• The files you upload are read on our server and deleted as soon as their text has been extracted.
• Your saved cases, chats and calendar are stored in your browser, not on our servers. Keeping copies is your responsibility: they are lost if the browser’s site data is cleared, so use Settings → Export to keep a copy.
• You are responsible for having a lawful basis to process your clients’ personal data in this way, and for not sending material you are not permitted to share.

By using the Platform, you acknowledge how it processes the material you send.

05Accounts, Plans, and Fees

• Plans: Starter, Pro and Pro Max, as published on vexisx.in. Each paid plan is a subscription that renews every 30 days and includes a set number of sessions for each 30-day plan period. Sessions measure the plan’s allowance for AI work: every AI task (drafts, a new case’s set-up, summaries, timelines, evidence, chat and AI edits) uses part of it, and a session is counted once its full share has been used, so shorter tasks use only a fraction of one.
• Payment: Listed prices include GST at the applicable rate (currently 18%); the amount shown is the amount you pay. Payments are charged in Indian rupees through our payment processor, Razorpay. Plans renew automatically every 30 days at the then-current listed price, charged to the payment method you authorised, until you cancel. You are notified before each renewal charge. If a renewal charge fails, Razorpay may retry it; if it cannot be collected, your plan ends at the end of the period already paid for.
• Sessions: Each plan period’s sessions are valid until that period ends (30 days); unused sessions expire then and do not carry over into the next period. Any other purchase adds sessions with their own validity and does not change the sessions you already have. Sessions are used from the purchase that expires first.
• Top-ups: While you have an active paid plan, you can buy extra sessions in the app, from 1 to 1,000 at a time, at the top-up price shown before you pay (currently ₹40 a session plus GST at the applicable rate). Top-up sessions are valid until your current plan period ends (the latest-ending plan you have bought) and are used in the same order as other sessions. Top-ups are non-refundable on the same terms as plans.
• Fair use: To keep the service reliable for everyone, we may limit how many AI requests can be made in a short period (for example, per hour). There are no daily limits beyond your sessions, and these short-term limits do not use up sessions.
• Free trial: New accounts receive a one-time trial with a limited number of sessions, as shown at sign-up. We may change the trial for future sign-ups.
• Refunds: Fees are non-refundable once a plan period has started, except as set out in our Refund & Cancellation Policy (for example, duplicate charges or a payment for a plan that was not activated) or as required by law.
• Price changes: Prices may change from time to time. A change never affects a plan period you have already paid for.
• Cancellation: You can cancel automatic renewal at any time in the app or on vexisx.in. Your plan then ends at the end of the period you have paid for; that period is not refunded except as described above. You may also stop using the Platform or delete your account at any time; deleting your account also stops renewal.

06Acceptable Use

You agree not to:

• Use the Platform to draft documents intended to mislead a court, fabricate evidence, or facilitate any unlawful act.
• Attempt to reverse-engineer, extract, or replicate the knowledge corpus, templates, or underlying software.
• Share your account credentials outside your authorised firm seats.
• Use the Platform in a manner that violates the Bar Council of India's rules, the DPDP Act, or any applicable law.
• Upload data you are not authorised to process (e.g., data obtained in breach of a third party's rights).
• Attempt to bypass usage limits, rate limits, or security controls.

We may suspend or terminate accounts that violate this section, with notice where reasonably practicable.

07Intellectual Property

• Our IP: The Platform, including the knowledge corpus, templates, clause banks, and underlying software, is owned by Vexisx and licensed to you for use under these Terms. Nothing here transfers ownership of our IP to you.
• Your content: You retain ownership of the case material, facts, and instructions you input, and of the documents generated for your matters. You grant us a limited licence to process that content solely to provide the service (as described in Section 4), and expressly not to train any AI model.
• Feedback: If you provide suggestions or feedback, we may use it to improve the Platform without obligation to you.

08Third-Party AI Providers

The Platform uses third-party AI infrastructure (OpenRouter, which routes each request to the underlying AI model) to process case text. Your use of the Platform is also subject to the availability and performance of these third-party services, which are outside our direct control. Every request is sent with Zero Data Retention: OpenRouter uses only model providers that do not store prompts or outputs, and none of your content is used to train any model.

09Disclaimers

10Limitation of Liability

To the maximum extent permitted by law, Vexisx's total liability arising out of or relating to these Terms or the Platform shall not exceed the fees you paid us in the 3 months preceding the claim. Vexisx shall not be liable for indirect, incidental, consequential, or punitive damages, including professional sanctions, malpractice claims, or client losses arising from your reliance on unverified AI output.

11Indemnification

You agree to indemnify and hold Vexisx harmless from claims arising out of: (a) your breach of these Terms; (b) your failure to verify AI-generated output before filing or relying on it; (c) your violation of applicable law or professional conduct rules; or (d) content you upload that you were not authorised to process.

12Termination

We may suspend or terminate your access for breach of these Terms, non-payment, or as required by law. You may stop using the Platform or delete your account at any time (in the app: Settings → Security → Delete my account; or in your account on vexisx.in). Sections relating to IP, disclaimers, liability, and indemnification survive termination.

13Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Subject to the rights you have under applicable consumer protection law, the courts at Charkhi Dadri, Haryana, where our registered office is located, shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Platform.

14Changes to These Terms

We may update these Terms from time to time. Material changes will be notified via email or in-app notice at least 15 days before taking effect. Continued use after the effective date constitutes acceptance.
